1. Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and Joojoo Apps ("we", "us", "our") governing your use of the Voice Accountant mobile application and related services (the "Service").

By creating an account, downloading, installing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old (or the equivalent minimum age in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into this agreement. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business.

3. Your account

You are responsible for:

• Providing accurate and current registration information.
• Keeping your password, verification codes, and device secure.
• All activity that occurs under your account.

You agree to notify us immediately at support@voiceaccountant.com if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your account when you failed to safeguard your credentials.

4. The Service

Voice Accountant lets you record income and expenses by voice, text, photo, or document. An AI assistant drafts transaction entries, categorizes them, and answers your bookkeeping questions. The Service includes:

• AI-assisted transaction entry from text, voice, photo, and document inputs.
• A records list, search, filters, and trash/restore for transactions.
• Reports with CSV and Excel export.
• An accountants directory where you can invite or connect with a professional accountant.
• Multi-language UI, theming, push notifications, and a paid subscription tier.

We may add, change, or remove features at any time. We will give reasonable notice for material changes that disadvantage paying users.

5. Financial AI disclaimer

Voice Accountant uses AI to draft transaction records. Output is informational only, not professional accounting or tax advice. The user is responsible for reviewing and correcting all entries before relying on them.

The AI assistant can misclassify transactions, misread receipts, misinterpret voice recordings, omit information, fabricate plausible-looking details, or produce other errors. You are solely responsible for:

• Reviewing every transaction the AI creates or updates.
• Correcting errors before filing taxes, sharing reports with an accountant, or making business decisions based on the data.
• Maintaining your own backups of source documents (receipts, invoices, statements) outside the Service.

The Service is not a substitute for a qualified accountant, tax professional, or financial advisor. If you need professional advice — especially for tax filings, audits, or regulated reporting — consult one. We do not represent or warrant that the Service complies with the tax laws or accounting standards of any specific jurisdiction.

6. Subscriptions and payments

6.1 Free tier

The Service includes a free tier limited to 30 AI chat messages per period (subject to change). Once you reach the limit, further AI requests require an active subscription.

6.2 Paid subscription

The current paid plan is voiceaccountant_monthly_pro. Subscriptions are sold and billed by Google Play on Android. By purchasing, you accept the terms set by Google Play in addition to these Terms.

6.3 Auto-renewal

Subscriptions auto-renew at the end of each billing period (monthly) at the then-current price, unless you cancel at least 24 hours before renewal. Renewal charges go through your Google Play account.

6.4 Cancellation

You can cancel any time from your Google Play account → Subscriptions → Voice Accountant → Cancel subscription. Cancellation takes effect at the end of the current billing period; you keep access to paid features until then. We do not collect or store your payment method.

6.5 Refunds

Refunds for Google Play purchases are handled by Google Play under their refund policy. We cannot issue refunds directly for Play purchases. For exceptional cases (technical failures, double-charges) contact us at support@voiceaccountant.com and we will help you raise a refund request with Google.

6.6 Price changes

We may change the subscription price. If we raise the price, we will notify you in advance and you will have the chance to cancel before the new price applies, as required by Google Play's policy.

6.7 Promotional offers

Welcome offers, free trials, and discounts are governed by the terms shown at the time of the offer and by Google Play's rules for promotional subscriptions.

7. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose, including tax fraud, money laundering, or evasion of any reporting obligation.
• Upload, transmit, or otherwise submit content that infringes a third party's rights, violates law, or that you do not have the right to share.
• Upload malware, viruses, or harmful code.
• Reverse-engineer, decompile, or attempt to extract source code from the app, except where this restriction is prohibited by law.
• Attempt to access another user's data, circumvent authentication, or interfere with the operation of the Service.
• Use the Service to harass, spam, or send unsolicited communications to other users (including accountants invited through the Service).
• Resell, sublicense, or rent the Service without our written permission.
• Use the Service to train a competing AI product or to systematically scrape AI outputs.
• Submit content that you know to be false or misleading in a way intended to harm us or another user.

We may suspend or terminate your account if you breach these terms.

8. Your content

You retain ownership of all transaction data, photos, voice recordings, documents, and other content you upload ("Your Content"). You grant us a limited, worldwide, non-exclusive, royalty-free license to host, process, transcribe, analyze, transmit, back up, and display Your Content solely to operate and improve the Service for you. This license ends when you delete Your Content from the Service or close your account, except as needed for backups, dispute resolution, or legal obligations.

You represent that you have all rights necessary to upload Your Content and that doing so does not violate any law or third-party right.

We use Google's paid-tier Gemini API under terms that exclude your content from being used to train Google's foundation models. See the Privacy Policy for details on AI processing.

9. Accountants directory

If you invite an accountant or connect with one through the in-app directory, you authorize us to share the transaction data, attachments, and profile information that you grant access to with that accountant. You can revoke access at any time from the Accountants tab. The accountant's relationship with you is governed by your direct agreement with them; we are not a party to that engagement and are not liable for the accountant's actions, advice, or fees.

10. Third-party services

The Service relies on third-party services (Google Play Billing, AWS S3, Google Gemini API, Twilio for SMS, our email provider, Expo / FCM push, Sentry for crash reporting) that have their own terms and privacy policies. Outages, errors, or changes in those services may affect the Service. We are not responsible for third-party service failures, but we will use reasonable efforts to restore service.

11. Intellectual property

The Service, including the app, code, design, branding, and AI prompt engineering, is owned by Joojoo Apps and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the app on devices you own or control, solely for personal or internal business use, subject to these Terms.

The name "Voice Accountant" and the app's logo are trademarks claimed by Joojoo Apps.

12. Service availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, deploy updates, throttle abusive use, or temporarily suspend parts of the Service. Some features (sync, AI processing, push) require a network connection and depend on third-party providers.

13. Termination

You can stop using the Service at any time and delete your account from Menu → Delete account. We may suspend or terminate your account, with or without notice, if:

• You materially breach these Terms.
• Continued provision of the Service to you would violate law or expose us to liability.
• We discontinue the Service.

On termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

WITHOUT LIMITING THE ABOVE, WE DO NOT WARRANT THAT AI-GENERATED TRANSACTIONS, CATEGORIZATIONS, OR RESPONSES ARE ACCURATE, COMPLETE, OR FIT FOR ANY TAX, ACCOUNTING, OR LEGAL PURPOSE. You assume the entire risk of using AI outputs in your bookkeeping.

Some jurisdictions do not allow the exclusion of certain warranties; the above exclusions apply to the maximum extent permitted by law.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR TAX PENALTIES — ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

Some jurisdictions do not allow these limitations; in that case the above applies to the maximum extent permitted.

16. Indemnification

You agree to defend and indemnify Joojoo Apps from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of (a) your use of the Service in violation of these Terms or law, (b) Your Content, or (c) your violation of any third-party right.

17. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18. Dispute resolution

Any dispute arising out of or related to these Terms or the Service will be submitted to the exclusive jurisdiction of the competent courts located in Toronto, Ontario, Canada. You waive any objection to venue or forum non conveniens in those courts.

Nothing here prevents either party from seeking emergency injunctive relief.

If you are a consumer in the EEA, UK, or another jurisdiction with mandatory consumer-protection rules, you retain the right to bring proceedings in the courts of your country of residence and to rely on the consumer-protection laws of that country.

19. Changes to these Terms

We may update these Terms. The "Last updated" date at the top reflects the latest version. Material changes will be communicated in-app or by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

20. Miscellaneous

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
• Severability. If any clause is held unenforceable, the rest remains in effect.
• No waiver. Failure to enforce a right is not a waiver of that right.
• Assignment. You may not assign these Terms. We may assign them to a successor in a corporate transaction.
• Force majeure. We are not liable for failure to perform caused by events beyond our reasonable control.
• Language. These Terms are written in English. Translations are for convenience; the English version controls.
